These Terms of Use ("Terms") govern access to and use of the Cogame platform ("Cogame," the "Service"), operated by youngand Inc. ("we," "us," or "our").
The Service is provided to organisations — adult day care centres, senior wellness facilities and similar providers (each, a "Centre"). By creating an account, accepting these Terms in the Service, or allowing staff to use the Service, the Centre agrees to these Terms. The person accepting confirms they are authorised to do so on the Centre's behalf.
Cogame is not offered to individual consumers, and participants do not contract with us directly.
Cogame is a web-based cognitive wellness and engagement platform. It provides interactive games, a staff dashboard, and progress reports for older adults taking part at a Centre.
Cogame is a wellness, engagement and educational tool. It is not a medical device and is not intended to detect, diagnose, monitor, manage, treat or prevent any medical condition or disease. Scores, reports and summaries produced by the Service are not medical advice and must not be presented as a clinical assessment, screening or prediction.
The Centre is responsible for deciding whether participation is suitable for a particular individual, and for any clinical judgement about that individual.
The Centre decides which participants take part and what information is recorded about them. As between the parties, the Centre is responsible for that information, including for obtaining any consent required and for providing any notice required by applicable law.
We process participant information on the Centre's behalf and in accordance with our Privacy Policy and any data processing agreement entered into with the Centre. In Singapore, we act as a data intermediary for that processing.
The free-text fields in the Service are intended for operational notes. They are not intended for clinical records, diagnoses or other health information, and the Centre should not enter such content.
The Centre and its staff must not:
Some games use the device camera to detect body or hand positions. Camera images are processed in the browser on the Centre's device and are not transmitted to or stored on our servers. The body-position coordinates used while a game is running are discarded during play; only summary movement measurements calculated from the session — such as how smooth and how steady a participant's movement was — are retained. See the Privacy Policy for detail.
The Centre is responsible for positioning equipment appropriately, for informing participants that a camera is in use, and for ensuring the training area is safe for the movements a game asks for.
A Centre obtains the Service in one of two ways, and only one of them applies at a time.
Taxes are charged where applicable. We may change fees on reasonable notice, effective from the next billing period.
We aim to keep the Service available, but it may be unavailable during maintenance, or because of faults or events outside our reasonable control. We do not commit to a specific uptime level unless separately agreed in writing.
We may add, change or remove features. Where a change materially reduces core functionality the Centre relies on, we will give reasonable notice.
The Service, including its software, games, content and branding, is owned by youngand Inc. or its licensors and is protected by intellectual property laws. We grant the Centre a non-exclusive, non-transferable right to use the Service during the term, for its own internal purposes.
Information the Centre enters, and records generated for its participants, remain the Centre's. We may use aggregated or de-identified information that does not identify a Centre or an individual to operate and improve the Service.
Marketing materials must not be created or altered in a way that makes claims about the Service beyond those we have approved in writing.
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
In particular, we do not warrant that:
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings, however arising.
Our total aggregate liability arising out of or in connection with the Service in any twelve-month period is limited to the fees paid or payable for the Service in respect of that Centre during that period.
These limits do not apply to liability for death or personal injury caused by negligence, for fraud, or to any other liability that cannot lawfully be limited.
The Centre will indemnify us against claims, losses and reasonable costs arising from its breach of these Terms, its use of the Service in breach of applicable law, its failure to obtain any required consent from participants, or claims that content it entered infringes a third party's rights.
The Centre may stop using the Service and close its account at any time. We may suspend or terminate access where the Centre materially breaches these Terms, where fees remain unpaid after reasonable notice, or where continued use presents a security or legal risk. Where practicable we will give notice and an opportunity to resolve the issue first.
After termination, participant records are deleted or de-identified as described in the Privacy Policy. The Centre should export any records it wishes to keep before closing its account.
For a Centre located in Singapore, these Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute.
For a Centre located elsewhere, these Terms are governed by the laws of the State of California, United States, and the courts of California have exclusive jurisdiction.
Nothing in this section prevents either party from seeking urgent injunctive relief in any competent court.
We may update these Terms to reflect changes to the Service or to applicable law. We will update the date at the top and, where the change is material, ask Centre administrators to review and accept the updated Terms before continuing to use the dashboard.
